These Terms of Service (“Terms”) are a binding agreement between you and Receptify. They govern your access to and use of our website and Services. By using the site, requesting a call, or subscribing, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

Acceptance
By accessing this site or using the Services, you agree to these Terms. If you use the Services on behalf of a business, you represent that you are authorized to bind that business, and “you” means that business. When you subscribe, you accept these Terms as part of sign-up.

Definitions
- Business User
- A home-service business, and its personnel, that uses the Services.
- Caller
- An individual who calls a Business User's line and interacts with the AI agent.
- Services
- Receptify's AI voice-agent, call-handling, booking, messaging, and automation offerings, and this website.
- Subscription
- A recurring paid plan for the Services.

The Services
Receptify provides AI voice-agent and automation Services that answer inbound calls, triage requests, quote and book jobs, send confirmations, and create call summaries for home-service businesses. Features depend on the plan you select and the configuration you provide. We may improve, change, or discontinue features over time.

Eligibility & accounts
You must be at least 18 and able to form a binding contract. You are responsible for the accuracy of the information you provide, for your account credentials, and for activity under your account. You must tell us promptly of any unauthorized use.

Your consent obligations
You are responsible for having a lawful basis to contact your own customers and callers, including any consent required for calls, texts, and recordings, and for honoring do-not-call and opt-out requests. Receptify is a tool you direct; you determine who is contacted and on what basis.

Messaging (SMS) terms
These terms apply to text messages sent to or from Receptify.
- Program: Receptify scheduling, confirmation, and account messages.
- Opt-in: By submitting your number on our form or providing it to us, you consent to receive related texts. Consent is not a condition of any purchase.
- Message frequency varies based on your activity.
- Rates: Message and data rates may apply.
- Help & opt-out: Reply HELP for help or STOP to cancel at any time. After you reply STOP, we will send one confirmation and then stop.
- Carriers: Wireless carriers are not liable for delayed or undelivered messages.

Recording & AI use
The Services record and transcribe calls to operate, and use AI to converse, quote, and book. You are responsible for providing any call-recording notice required in the states where you and your callers are located.

Acceptable use
You agree not to:
- use the Services for unlawful, deceptive, harassing, or fraudulent purposes;
- place unsolicited marketing calls or texts, or violate telemarketing, do-not-call, or recording laws;
- interfere with, reverse engineer, overload, or attempt to gain unauthorized access to the Services;
- upload unlawful content or infringe others' rights; or
- resell or provide the Services to third parties except as expressly permitted.

Third-party integrations
The Services may connect to third-party tools you use, such as scheduling or field-service platforms (for example, ServiceTitan, Jobber, or Housecall Pro). Your use of those tools is governed by their own terms, and we are not responsible for third-party services. You authorize us to exchange data with the integrations you enable.

Fees, billing & cancellation
Pricing is quoted based on your call volume and plan and is billed on a recurring, month-to-month basis unless agreed otherwise. Your Subscription renews automatically each billing period until you cancel. Fees are due in advance and, except where required by law, are non-refundable for partial periods.
You may cancel at any time, effective at the end of the current billing period, through your account or by contacting us; cancellation stops future renewals. We may change pricing on prospective notice.

Data processing
Our handling of information is described in the Privacy Policy. For Caller information processed on your behalf, Receptify acts as your Service Provider / Processor. Business Users that require a Data Processing Agreement can request one by emailing legal@receptifytech.com; if signed, it governs in the event of a conflict on data-processing matters.

Intellectual property
Receptify and its software, models, and content are owned by us or our licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Services during your Subscription. You retain ownership of your business data and the content you provide, and you grant us the rights needed to operate the Services for you.

Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the AI will answer or book every call, that it will be error-free or uninterrupted, or that it will meet every requirement. AI systems can make mistakes; you are responsible for reviewing bookings and outcomes.

Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, RECEPTIFY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS. RECEPTIFY'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

Indemnification
You agree to defend, indemnify, and hold Receptify harmless from claims and costs arising out of your use of the Services, your content, or your violation of these Terms or of any law — including telemarketing, consent, and recording laws applicable to your calls and your customers.

Dispute resolution
Informal resolution first. Before filing any claim, you agree to contact us and try in good faith to resolve the dispute for at least 30 days.
If the dispute is not resolved through good-faith discussion, it will be handled in the courts identified under Governing law.

Governing law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules, and the state and federal courts located in Ohio will have jurisdiction, unless applicable law requires otherwise.

General provisions
- Severability. If any provision is unenforceable, the rest remain in effect.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Entire agreement. These Terms, the Privacy Policy, and any order or DPA you enter into are the entire agreement between us on their subject matter.
- Notices. We may give notice by email or by posting on the site.

Changes & termination
We may update these Terms; material changes take effect on the “Last updated” date, and continued use means you accept them. We may suspend or terminate the Services for violation of these Terms or as needed to protect the Services; you may cancel as described under Fees, billing & cancellation.
